Our Board of Directors voted to reinstitute the recording of Director voting records less than one week after SPBuzz called eight Directors to account with regard to their campaign pledges to do so. Ironically, Director Terry MacAvery and former Director Mitch Kupfer, both of whom were aware of SPBuzz's initiation of this effort, explicity directed thanks to SPComm and did not make any mention of SPBuzz whatsoever. The SPBuzz inquiry which initiated this process is published below.

While campaigning, eight out of our eleven Directors have spoken out in favor of publishing their boardroom votes. It seems they never got around to voting on it, and we still have no way to check how well our elected representatives are reflecting our interests.

There are major initiatives and expenditures facing us, such as hallway redesign, evaluation of our management company, managing our finances, etc. Shareholders would benefit by having an accurate indication of Directors' positions on these issues, especially when it comes time to evaluate their performance when they are up for re-election.

In an effort to follow up to find out why this issue has fallen off the agenda, SPBuzz sent the following correspondence to those Directors who are on-record as supporting the publication of Director voting records.

Esteemed Neighbors:

In going through campaign literature of the past several years, quoted below, I see that a majority of our sitting Directors have spoken out in favor of publishing Boardroom voting records. Has this issue come before the Board? If not, why not? Where do you stand on this issue now?

Dan Strum

B. Pietro Filardo

“If a board member runs for re election I want to know how they voted during the previous term.”
Freda Fried

I believe that every shareholder should know how I voted, and believe this should be recorded in the minutes.”
Fran Marino
